Frederik is an allround M&A tax lawyer advising on all tax aspect of transactions, such as due diligence, structure papers, SPA negotiations and corporate restructuring. Complementary to the due diligence work he often advises target companies post closing, making sure that the tax findings from due diligence are implemented correctly. This really strengthens the personal relationship with clients and requires a personal touch.
Frederik’s specialization is advising on tax aspects of management incentive programs (MIPs), which entails the design and implementation of the MIP and the negotiations with the tax authorities. Due to his broad experience with negotiating rulings with the tax authorities Frederik is very well aware of the possibilities and impossibilities with respect to MIPs. Perhaps the most important aspect of a MIP – and often overlooked – is sitting down with management and explaining the tax consequences of the commitment, in clear laymen’s terms.
Before joining Atlas in 2012 Frederik worked at the international tax department of one of the largest Dutch law firms for three years, where his focus was on transfer pricing.
